LEGAL NOTICE

By hiring the services of JB.SKYLNES - DRON, accessing its website, or making any partial or full payment, the client declares having read, understood, and fully accepted these Terms and Conditions. This document constitutes a legally binding contract between the client ("Contracting Party") and JB.SKYLNES - DRON ("Service Provider").

These terms are governed by current Ecuadorian legislation, including the Organic Code of the Social Economy of Knowledge, Creativity and Innovation (INGENIOS Code), the Organic Law on Personal Data Protection, the Civil Code, the Commercial Code, and the Law on Electronic Commerce, Electronic Signatures and Data Messages of Ecuador.

1. GENERAL INFORMATION

This website and associated services are operated by JB.SKYLNES - DRON, established under the laws of Ecuador. The terms "we", "us" and "our" refer to JB.SKYLNES - DRON; "you" and "client" refer to the Contracting Party.

2. PURPOSE OF THE CONTRACT

The purpose of this contractual relationship is the provision of professional aerial and ground video recording services using unmanned aerial vehicles (drones), audiovisual production, editing and digital material delivery, as well as the granting of usage licenses over the produced material, in accordance with these Terms and current Ecuadorian legislation.

3. PRODUCTS AND SERVICES

JB.SKYLNES - DRON offers image and video capture services using drone technology for events, commercial, real estate, advertising and other projects. We strive to display our results as accurately as possible on the website. However, weather, lighting and environmental conditions may influence the final product, without this constituting a breach of contract. Services will be provided in accordance with the regulations of the General Directorate of Civil Aviation (DGAC) of Ecuador.

4. PRICING AND PAYMENTS

Prices vary according to the type of service, event duration, location and type of usage license requested. All prices are expressed in US dollars (USD), the legal tender of Ecuador.

4.1 Booking Conditions

To confirm and reserve the service date, a deposit of 50% of the total agreed amount is required. The remaining 50% must be paid on the day of the event or upon arrival at the location where the client wishes to carry out the recording, prior to starting work. The date is reserved only once the deposit has been received and verified.

The submission and confirmation of the 50% deposit payment will act as an express declaration of intent and will constitute a binding contract between the client and JB.SKYLNES - DRON, making all these Terms and Conditions fully valid and enforceable from that moment, in accordance with Art. 1461 and following of the Ecuadorian Civil Code and Art. 48 of the Law on Electronic Commerce, Electronic Signatures and Data Messages. The client declares full knowledge and acceptance of these Terms upon making said payment, without the need for an additional signature.

    4.2 Weather Conditions and Pilot Decision

    In the event that weather conditions pose a risk to the safe operation of the drone (excessive wind, rain, fog, electrical storm or other adverse conditions), the final decision on the feasibility of the flight belongs solely and exclusively to the pilot operator of JB.SKYLNES - DRON. This determination will be made based on the safety of people, property and the aircraft, and no client, contracting party or third party may demand the flight under conditions the pilot considers unsafe.

    Rescheduling due to weather — already at the location: If the pilot is already present at the recording location and weather conditions prevent the flight, requiring the service to be rescheduled to another day, a surcharge of USD $10.00 will apply for mobilization costs incurred. This amount must be paid by the client before the new recording date.

    Prior notice with 1 hour in advance: If the client or pilot notifies at least one (1) hour before the start of the service that weather conditions do not allow the recording to take place, rescheduling will not generate any additional mobilization cost. In this case, a new date will be coordinated by mutual agreement between the parties with no financial penalty.

      4.3 Service Packages

      JB.SKYLNES - DRON offers the following service packages. The price of each package will be provided in the personalized quote.

      • Package 1 — Basic (Express Coverage): 20 to 30 minutes of flight. 3 edited photos. 2 short videos (30 seconds each). Ideal for: quick content, social media, specific moments.
      • Package 2 — Premium (Full Coverage): 1 to 1.5 hours of flight. 15 edited photos. 10 short videos (varying duration). Basic editing included. Ideal for: events, nightclubs, brands.
      • Package 3 — VIP (Advanced Production): 1.5 to 2 hours of flight. 25 edited photos. 20 short videos (30 seconds each). Advanced and detailed editing. Ideal for: large events, advertising campaigns, clients with high demands.
      • Package 4 — Technical Inspection: Flight time according to project scope. Detailed technical photos and inspection videos. Applications: vessels, infrastructure, land (encroachments, mining, among others). Material delivered ready for technical or expert analysis.
      • Package 5 — Promotional / Tourism: Cinematic shots (beaches, businesses, hotels and tourist attractions). Photos and promotional video. Editing focused on marketing and brand or destination promotion.
      • Extras: Fast delivery in 24h (additional cost), additional videos and photos (cost per unit), out-of-zone mobilization (based on distance, see clause 4.6), rescheduling due to weather while already at the location (USD $10.00, see clause 4.2).

      4.4 Long Duration Events

      Weddings, quinceañeras, graduations and other long-duration events have a differentiated rate according to the time and effort the service demands, clearly detailed in each quote.

        4.5 Standard Coverage Area

        The standard coverage area of JB.SKYLNES - DRON includes the city and parish of Esmeraldas, within a radius of up to ten (10) kilometers from the operations base point located at geographic coordinates Latitude 0.96730, Longitude -79.65209. All services rendered within this area will not incur any additional mobilization cost.

          4.6 Mobilization Outside Coverage Area

          If the event or recording takes place outside the standard ten (10) kilometer coverage radius described in clause 4.5, an additional mobilization cost will apply, which will be informed in advance and expressly stated in the quote, based on the distance and conditions of the location.

            5. MATERIAL DELIVERY

            Once the event and editing process are complete, all material will be delivered 100% digitally to the client.

            5.1 How is the delivery made?

            The material is sent through digital platforms (Google Drive, WeTransfer or similar). The client will receive a download link directly via WhatsApp or email. The Service Provider will not be responsible for the loss of the link once it has been sent.

              5.2 Delivery Time

              Delivery time depends on the contracted package and the amount of material to be edited, as specified in the quote. Deadlines begin from the conclusion of the event.

                6. INTELLECTUAL PROPERTY AND COPYRIGHT

                6.1 Original Ownership

                In accordance with Articles 107 and following of the Organic Code of the Social Economy of Knowledge, Creativity and Innovation (INGENIOS Code, Official Registry Supplement No. 899, December 9, 2016), all video recordings, aerial images, shots, sequences, compositions, edits, post-production and any other audiovisual content generated during the provision of services are works protected by copyright, whose original and exclusive ownership belongs to JB.SKYLNES - DRON as author and audiovisual producer.

                  6.2 Rights Reserved

                  JB.SKYLNES - DRON expressly reserves, in accordance with Art. 123 of the INGENIOS Code, all moral and economic rights over the generated works, including: (a) the right of reproduction; (b) the right of distribution; (c) the right of public communication; (d) the right of transformation or adaptation; and (e) the right of making available to the public. These rights may only be exercised by the client through an express license or written assignment.

                    6.3 Portfolio Use

                    The Service Provider reserves the right to use fragments of the produced material for its professional portfolio, advertising, social media and commercial demonstrations. If the client does not wish their material to be used for these purposes, they must communicate this in writing at the time of contracting, which may imply an additional fee for full exclusivity.

                      7. USAGE LICENSES GRANTED TO THE CLIENT

                      Delivery of the material to the client does not imply transfer of copyright ownership, but only the granting of a usage license, as contracted and pursuant to Articles 127 and following of the INGENIOS Code.

                      7.1 Personal Use License (Standard)

                      Unless otherwise agreed, the client receives a non-exclusive, non-transferable license without sublicensing rights, for personal and private use of the material. This includes: (a) personal viewing and enjoyment; (b) publication on the client's personal social media accounts with mention or credit to the Service Provider when possible; and (c) non-commercial sharing with family and friends. Any commercial use, advertising, direct or indirect profit, sale or sublicensing of the material is expressly prohibited under this license.

                        7.2 Commercial Use License

                        When the client requires using the material for commercial, advertising, marketing, real estate purposes, monetized platforms, paid advertising (ads), mass distribution or any activity that generates direct or indirect economic benefit, they must expressly contract the Commercial Use License, which carries an additional cost on top of the base service price.

                        The Commercial Use License grants the client the non-exclusive right to use the material for the specific purposes agreed upon in the quote or license contract. The geographic scope, duration, permitted distribution channels and other conditions will be established in writing. This license does not imply transfer of copyright ownership.

                          7.3 Full Assignment of Economic Rights

                          If the client wishes to acquire full ownership of the economic rights over the produced material, including the right of modification, sublicensing, unlimited reproduction and total commercial exploitation, they must expressly request it and sign an Assignment of Economic Copyright Contract pursuant to Art. 128 of the INGENIOS Code, through a written instrument signed by both parties at a differentiated price. The moral rights of the author are non-waivable and inalienable pursuant to Art. 122 of the INGENIOS Code.

                            7.4 General Prohibitions

                            Regardless of the type of license contracted, the client is expressly prohibited from:

                            • Reselling, sublicensing or transferring the material to third parties without written authorization from the Service Provider.
                            • Removing, modifying or hiding the metadata, watermarks or any authorship indication of the material.
                            • Using the material in contexts that damage the reputation, image or values of the Service Provider.
                            • Presenting the material as their own work or that of a third party other than the Service Provider.
                            • Using the material in political campaigns, adult content, defamatory material or illegal activities.
                            • Using the material beyond the scope, term and territory agreed upon in the contracted license.

                            8. CANCELLATION AND REFUND POLICY

                            In accordance with Art. 1505 and following of the Ecuadorian Civil Code and the applicable provisions of the Commercial Code:

                            8.1 Cancellation by the Client

                            Cancellations will only be accepted when notified in writing to the Service Provider at least seven (7) business days before the event date. Cancellations within this period will entitle the client to a 100% refund of the deposit.

                              8.2 Late Cancellation

                              If cancellation occurs less than seven (7) business days before or on the same day as the event, the deposit will be retained as compensation for the date reservation and operational costs incurred.

                                8.3 Refund Process

                                Applicable refunds will be made by bank transfer (savings or checking account) within five (5) business days following confirmation of the cancellation.

                                  8.4 Cancellation by the Service Provider

                                  If the Service Provider cancels due to causes attributable to them, 100% of the deposit will be refunded. In case of force majeure or act of God (extreme adverse weather, flight ban, health emergency or other duly justified causes), a new date will be agreed upon at no additional cost or, if not possible, 100% of the deposit will be refunded.

                                    9. PRIVACY AND PERSONAL DATA PROTECTION

                                    In accordance with the Organic Law on Personal Data Protection of Ecuador (Official Registry Supplement No. 459, May 26, 2021), JB.SKYLNES - DRON commits to:

                                    10. LIABILITY AND LIMITATIONS

                                    10.1 External Conditions

                                    The Service Provider will not be liable for the quality of the material when it is affected by adverse weather conditions, airspace restrictions, electronic interference or other circumstances beyond their control.

                                      10.2 Client Obligations

                                      The client is responsible for obtaining the necessary permits from the owner or manager of the recording location and for ensuring minimum safety conditions for drone operation. Non-compliance exempts the Service Provider from any resulting liability.

                                        10.3 Equipment Damage or Breakdown During Recording

                                        In the event that the drone or other equipment used suffers damage, breakdown or loss during the course of a recording or event, provided that said damage is not exclusively attributable to one party alone, the economic responsibility will be shared equally: 50% by the Service Provider and 50% by the client.

                                        Shared cause includes, among others: environmental interference, site conditions under the client's control, unauthorized handling of equipment by third parties present at the event, or any factor in which both parties had participation or knowledge. If the damage is exclusively attributable to the client or to third parties under their responsibility, the full cost of repair or replacement will be borne by the client.

                                          10.4 Material Retention

                                          Once the download link has been delivered, the Service Provider does not guarantee indefinite storage of the material on their servers. The client is advised to make backup copies immediately. The Service Provider will retain the material for a minimum of thirty (30) calendar days after delivery.

                                            11. UNMANNED AERIAL VEHICLE OPERATIONS

                                            Aerial capture services are provided in compliance with the regulations issued by the General Directorate of Civil Aviation (DGAC) of Ecuador and current regulations applicable to unmanned aerial vehicle systems (UAS/RPAS). The Service Provider reserves the right to suspend operations if conditions pose a risk to the safety of people, property or the aircraft, or if authorities prohibit it, in which case the provisions of Section 8.4 will apply.

                                            12. AMENDMENTS TO THESE TERMS

                                            JB.SKYLNES - DRON reserves the right to modify these Terms at any time. Changes will take effect immediately upon publication at https://dron.joaobarres.dev. Continued use of the services will imply acceptance of the new terms. Amendments will not affect contracts already executed and in force at the time of the change, unless expressly agreed upon by both parties.

                                            13. DISPUTE RESOLUTION AND JURISDICTION

                                            Any dispute arising from the interpretation, execution or breach of these Terms will be resolved, in the first instance, through direct good-faith negotiation. If no agreement is reached within fifteen (15) business days from the notification, the parties expressly submit to the jurisdiction and competence of the judges, courts and mediators of the city of Esmeraldas, province of Esmeraldas, Republic of Ecuador, waiving any other jurisdiction or venue. The parties may also resort to the alternative dispute resolution methods provided under the Arbitration and Mediation Law of Ecuador, before the competent mediation centers of the city of Esmeraldas.

                                            14. FINAL PROVISIONS

                                            14.1 Integration

                                            These Terms, together with the accepted quote and any license contract signed, constitute the complete agreement between the parties and replace any prior agreement.

                                              14.2 Severability

                                              If any clause is declared null or unenforceable, the remaining clauses will retain full validity.

                                                14.3 Waiver

                                                Failure to exercise any right under these Terms will not constitute a waiver of such right.

                                                  14.4 Applicable Law

                                                  These Terms are governed by the laws of the Republic of Ecuador, in particular: the Civil Code, the Commercial Code, the INGENIOS Code, the Organic Law on Personal Data Protection, and the Law on Electronic Commerce, Electronic Signatures and Data Messages.
